JOB DESCRIPTION

The mission of Foundation Music School is to provide empowering music education and therapy services to help people reach their full potential.

Responsibilities of the Board

As the highest leadership body of the organization and to satisfy its fiduciary duties, the board is responsible for:

• Determine and maintain the mission and purposes of the organization.

• selecting and evaluating the performance of the chief executive.

• strategic and organizational planning.

• ensuring strong fiduciary oversight and fiscal management.

• fundraising and resource development.

• Develop and implement short- and long-term strategic plans

'• approving and monitoring the organization’s programs and services.

• enhancing the organization’s public image.

• assessing its own performance as the governing body of the organization

• Annually evaluate the Executive Director’s performance

• Serve a a court of appeal when the Executive Director’s judgement is challenged

Responsibilities of Individual Board MembersEach individual board member must:

• know the organization’s mission, policies, programs, and needs.

• Attend all board meetings or provide a proxy if unable to attend.

• faithfully read and understand the organization’s financial statements.

• serve as active advocates and ambassadors for the organization and fully engage in identifying and securing the financial resources and partnerships necessary for the organization to advance its mission.

• leverage connections, networks, and resources to develop collective action to fully achieve the organization’s mission.

• Help to recruit additional board members

• give a meaningful annual personal financial donation.

• help identify personal connections that can benefit the organization’s fundraising and reputational standing, and can influence public policy.

• prepare for, attend, and conscientiously participate in board meetings.

• participate fully in one or more committees.

Other responsibilities of the Foundation Music School board:

• follow the organization’s bylaws, policies, and board resolutions.

• sign an annual conflict-of-interest disclosure and confidentiality agreement. Both can be updated during the year if necessary. Board members are advised to disclose potential conflicts before meetings and actual conflicts during meetings.

• maintain confidentiality about all internal matters of the organization.

Terms of Office:

• Each directorshall hold office for a two-year term with a maximum of three consecutive terms.

• The second- and third-year terms must be approved by the Board of Directors.

• After a two-year absence, an individual may apply to serve again, under the same terms.

Average Time Commitment:

Officer position:

• 4 hours of meetings (monthly)

• 1 hour of training (monthly)

• 2-3 hours per week

Non-Officer board member:

• 2.5 hours of meeting (monthly)

• 1 hour of training (monthly)

• 2 hours per week
